BY CREATING A SELLER ACCOUNT, UPLOADING CONTENT, OR EARNING REVENUE THROUGH OUR PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT AND ALL INCORPORATED POLICIES.

Your Warranties and Representations: By uploading content, you represent and warrant that:

  • No Infringement: Content doesn't violate third-party copyrights, trademarks, or publicity rights

  • Proper Authorization: All necessary permissions obtained for any third-party elements

  • Commercial Rights: Content is properly licensed for print-on-demand commercial use

  • Accurate Claims: No false statements about ownership, licensing, or authorization

  • Income Reporting: Report all Seller Profits to appropriate tax authorities in your jurisdiction

Indemnification and Risk Allocation

Seller Indemnification Obligations: You agree to indemnify, defend, and hold harmless Merchifies, our affiliates, officers, directors, employees, and agents from claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Content Liability: Your User Content and any intellectual property infringement claims

  • Agreement Violations: Your breach of this Agreement or any applicable laws

  • Customer Claims: Product-related claims, disputes, or customer service issues

  • Tax Liabilities: All tax obligations arising from your seller activities

  • Third-Party Rights: Violations of privacy, publicity, or other third-party rights

Mutual Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Monetary Cap: Total aggregate liability limited to greater of $500 or amounts paid in preceding 12 months
